If the Customer is not the owner, it is required to provide written agreement from the Owner on evaluation.

Legal analysis

  • Charter of the enterprise;
  • Constituent contract;
  • Extract from the register of shareholders (for JSC);
  • Certificate of registration;
  • Statistical card;
  • Certificate of taxpayer;
  • Act on land use rights;
  • Land lease contract;
  • Licenses, available at the enterprise;
  • Subsoil use contracts;

Production sharing agreements, etc.

Financial reporting and economic analysis

  • Financial reporting on the valuation date (Form 1,2,3), explanatory note;
  • Financial reporting for last 3-5 years (Form 1,2,3);
  • Audit reports for the last 3-5 years (full).

Transcription company long-term assets on the valuation date.

  • Explanation of intangible assets;
  • Explanation of unfinished construction;
  • Explanation of the Property, Plant and Equipment and other fixed assets;
  • Explanation of long-term accounts receivable (name, date of establishment, date of maturity of the agreements and contracts if there are court cases on debt collection – court decisions).

Explanation of current enterprise assets on the date of valuation

  • Explanation of inventory (complete with storage period);
  • Explanation accounts receivable (name, date of establishment, the date of receipt by agreements and contracts, are there court cases on receivables).
  • Explanation liabilities of an enterprise on the date of valuation

Explanation of accounts payable – including taxes and other payables, etc.

Additional information

  • Explanation of the production cost by cost components (adm. costs, wages, materials, utility expenses, etc.), on the results (of 5 years)
  • Indicative Development Plan (business plan) for 5 years;
  • Financial and economic model of development to the end of license expiration date (for oil producing companies);
  • List of services, their costs and the actual volume of over 5 years in physical and monetary terms;
  • The main consumers / customers of products / services, indicating the long-term and short-term contracts on the valuation date;
  • Brief characteristics of the enterprise market (competitors, volume of services, the prospect of development);
  • The percentage of capacity utilization.

 

Technical and technological analysis

  • List of fixed assets (accurate identification of diversity on the accounts, the initial cost, depreciation, residual value);
  • Inventory business of registration center on real estate (technical data sheet). Show all real estate objects and present the main characteristics on situational plan of each property (Appendix 1);
  • The presence of networks (electricity, telecommunications, pipelines, access roads (rail and automotive)) (Appendix 2);
  • The structure of production equipment (Appendix 3);
  • The structure of motor vehicles and machinery passport data (Appendix 4);
  • Office equipment (Appendix 5);
  • Other property (Appendix 6).

Explanation investment (by subsidiaries must be provided with a list of documents according to the list presented below).

All documentation must be certified by the company stamp and signature of the responsible person. All lists and decrypting must be additionally provided in presented in electronic form of Word, Excel.
